Terms and conditions

Version of 13 October 2026

1. Who we are and when these terms apply

These general terms and conditions (“Terms”) apply to every quotation, order, contract and delivery of services or goods by Tactical-IT BV, Bredabaan 71 bus 301, 2170 Antwerpen (Merksem), Belgium, enterprise number BE 0803.422.690, support@tactical-it.be, +32 3 369 35 55 (“Tactical-IT”, “we”).

They apply to business customers and to consumers. Where a clause applies only to consumers (natural persons acting for purposes outside their trade or profession) or only to business customers, this is stated. By accepting a quotation, placing an order or letting us start work, you (“the Customer”) accept these Terms. The Customer’s own purchasing conditions do not apply, unless we have accepted them expressly and in writing. Specific written agreements (such as a service contract, a service level agreement or a data processing agreement) take precedence over these Terms where they conflict.

2. Quotations and orders

Our quotations are valid for 30 days unless stated otherwise. A contract is formed when the Customer accepts the quotation in writing (email is sufficient), or when we confirm the Customer’s order, or when we start the work with the Customer’s agreement. Quotations are based on the information the Customer gives us; if that information turns out to be incomplete or inaccurate, we may adjust the price and timing.

Prices are in euro and, for business customers, exclusive of VAT. Travel costs, hardware, software licences, subscriptions of third parties and work outside the scope of the quotation are charged separately at the rates in force, unless the quotation says they are included. We may adjust the price of recurring services once a year, and at any time when a third-party supplier changes its prices for licences or subscriptions that we resell; in that case we inform the Customer at least 30 days in advance.

3. Our services

We perform our services with care and skill, in accordance with good industry practice. Unless a service level agreement says otherwise, our obligations are best-efforts obligations: we do not guarantee a specific result, response time or availability. Delivery and completion dates are indicative. A delay does not entitle the Customer to compensation or to terminate the contract, unless the delay is unreasonable and persists after a written notice of default giving us at least 15 working days to remedy it.

We may use subcontractors. We remain responsible for their work. We may suspend our services if the Customer does not meet its obligations, in particular payment, after written notice.

4. The Customer’s obligations

The Customer gives us in good time all information, access, credentials, licences and cooperation we need to perform the services, and makes sure that its systems, software and data are legally obtained and used. The Customer remains responsible for its own data: unless we have expressly been engaged to provide backup services, the Customer keeps adequate, tested backups before we work on its systems. The Customer keeps the login details we provide confidential and informs us immediately of any suspected misuse.

5. Hardware, software and licences

Hardware remains our property until it has been paid in full. The risk passes to the Customer on delivery. Software and cloud services of third parties (for example Microsoft 365) are provided under the licence terms of those third parties, which the Customer accepts; we are not a party to those terms and do not guarantee the availability or functioning of third-party services.

Business customers must report visible defects in delivered goods within 8 days of delivery. Consumers benefit from the legal warranty of two years for conformity defects of goods (Articles 1649bis and following of the old Civil Code and Book XIX of the Code of Economic Law). Manufacturer warranties are handled in accordance with the manufacturer’s conditions; we assist the Customer with the claim.

6. Repairs

Before a repair we give an estimate of the cost. If during the repair we find that the cost will be higher, we ask the Customer’s agreement before continuing. If the Customer decides not to go ahead, the diagnostic costs stated in the estimate remain due. We take great care with the Customer’s data, but data loss during a repair can never be entirely excluded; the Customer is responsible for making a backup before handing in a device, unless we have been expressly engaged to do so. Devices not collected within 3 months after we have informed the Customer that the repair is finished may be recycled or sold to cover our costs, after a final written reminder.

7. Invoicing and payment

Unless otherwise agreed, services are invoiced monthly or at completion, recurring services are invoiced in advance, and hardware is invoiced on delivery. Invoices are payable within 30 days of the invoice date, by bank transfer to the account mentioned on the invoice. Complaints about an invoice must reach us in writing within 8 days of the invoice date, stating the reasons; after that the invoice is deemed accepted.

For business customers, any amount not paid on the due date bears, automatically and without notice of default, interest at the rate set by the Act of 2 August 2002 on combating late payment in commercial transactions, plus a fixed compensation of 10% of the unpaid amount with a minimum of 75 euro, and all unpaid invoices become immediately due.

For consumers, in case of late payment we first send a free reminder; if the amount remains unpaid 14 calendar days after that reminder, interest at the legal rate and a fixed compensation become due within the limits set by Book XIX of the Code of Economic Law (20 euro for a debt up to 150 euro; 30 euro plus 10% on the amount between 150.01 and 500 euro; 65 euro plus 5% on the amount above 500 euro, with a maximum of 2,000 euro). If we fail to meet our own payment obligations towards a consumer, the same interest and compensation apply in the consumer’s favour.

8. Duration and termination of recurring services

Recurring services (maintenance, monitoring, support, hosting, licences, subscriptions) are concluded for the duration stated in the quotation and, failing that, for 12 months. They are tacitly renewed for successive periods of the same duration, unless either party terminates them by registered letter or email at least 3 months before the end of the current period. Consumers may terminate a tacitly renewed contract at any time with a notice period of 1 month, in accordance with Article VI.91 of the Code of Economic Law. Third-party licences and subscriptions follow the duration and termination rules of the third party concerned.

Either party may terminate a contract with immediate effect, by written notice, if the other party seriously breaches its obligations and does not remedy the breach within 15 working days after written notice of default, or in case of bankruptcy, insolvency or liquidation of the other party.

At the end of the services we cooperate reasonably in handing over the Customer’s data and credentials. Work needed for the handover is charged at the rates in force, unless the contract says otherwise.

9. Right of withdrawal for consumers

A consumer who concludes a contract with us at a distance (by email, telephone or through the website) or outside our premises has the right to withdraw from the contract within 14 days without giving a reason, starting on the day of the contract for services, or on the day of delivery for goods. To exercise this right, the consumer notifies us by email at support@tactical-it.be or by letter before the end of the period. Goods must be returned within 14 days of the notification, in their original condition and packaging; the consumer bears the cost of return. We refund within 14 days of receiving the goods, or of the notification for services.

The right of withdrawal does not apply to: services that have been fully performed within the 14-day period with the consumer’s prior express agreement and acknowledgement that the right is lost once the service is fully performed; sealed software whose seal has been broken; and goods made to the consumer’s specifications. If the consumer asks us to start a service during the withdrawal period and then withdraws, the consumer pays a proportional amount for the services already performed.

10. Confidentiality and personal data

Both parties keep confidential all non-public information they learn about the other party in the course of the contract, during the contract and for 3 years after it ends, and use it only for the purposes of the contract. We bind our staff and subcontractors to the same obligation.

When we process personal data on behalf of a business customer (for example when managing its servers, mailboxes or backups), we act as a processor within the meaning of the GDPR. The parties then conclude a data processing agreement in accordance with Article 28 GDPR; our standard data processing agreement applies unless another one is agreed. For personal data that we process as a controller, our privacy policy applies.

11. Intellectual property

All intellectual property rights in the documentation, configurations, scripts, reports and other work we create remain ours, unless the contract expressly transfers them. After full payment the Customer receives a non-exclusive, non-transferable licence to use that work for its own internal business purposes, for as long as it uses the systems concerned. The Customer remains the owner of its own data. We may mention the Customer as a reference, unless the Customer objects in writing.

12. Liability

Our liability for all claims arising from a contract, whatever their basis, is limited per contract year to the amount the Customer paid us under that contract during the 12 months before the event giving rise to the claim, with a maximum of 25,000 euro. For a one-off order the limit is the price of that order.

We are not liable for indirect or consequential damage, such as loss of profit, loss of revenue, loss of business, loss of goodwill, loss or corruption of data, costs of recovery of data, or claims of third parties, nor for damage caused by the Customer’s failure to keep backups, by third-party software or cloud services, by the Customer’s own interventions, by viruses or cyber-attacks that reasonable security measures could not prevent, or by force majeure.

These limitations do not apply in case of fraud or intentional fault, in case of bodily injury or death, or where the law does not allow them. Towards consumers, our liability is limited only to the extent permitted by Book VI of the Code of Economic Law. Claims must be notified in writing within 3 months after the Customer became aware of the damage, failing which they lapse.

13. Force majeure

Neither party is liable for a failure to perform caused by circumstances beyond its reasonable control, such as power or internet outages, failures of third-party suppliers or cloud platforms, cyber-attacks, strikes, epidemics, government measures, fire or natural disasters. The affected party informs the other party promptly. If the situation lasts longer than 60 days, either party may terminate the affected services without compensation.

14. Non-solicitation (business customers)

During the contract and for 12 months after it ends, the business Customer will not directly or indirectly recruit or engage staff or subcontractors of Tactical-IT who have been involved in the services, without our prior written consent. In case of breach, a fixed compensation of 6 months’ gross remuneration of the person concerned is due, without prejudice to our right to claim higher proven damage.

15. General provisions

If a clause of these Terms is invalid, the other clauses remain in force and the invalid clause is replaced by a valid clause that comes as close as possible to its purpose. Our failure to enforce a right does not mean we waive it. The Customer may not transfer the contract without our written consent. We may update these Terms; the version in force on the date of the quotation or order applies to that contract, and for recurring services the new version applies from the next renewal after we have notified the Customer at least 30 days in advance.

16. Applicable law and disputes

These Terms and all contracts to which they apply are governed by Belgian law. The parties first try to resolve any dispute amicably. Failing that, the courts of the judicial district of Antwerp have exclusive jurisdiction. For consumers, this does not affect the jurisdiction of the court of their place of residence where the law provides for it; consumers may also contact the Belgian Consumer Mediation Service (consumentenombudsdienst.be) or the European online dispute resolution platform (ec.europa.eu/consumers/odr).
